1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and PolicyForges, Inc. ("PolicyForges," "we," "our," or "us") governing your access to and use of the PolicyForges enterprise policy and compliance management platform at policyforges.io and all related services (collectively, the "Services").
By creating an account, accessing the Platform, or using any of our Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
PolicyForges provides an enterprise software-as-a-service (SaaS) platform designed to help organizations create, manage, distribute, monitor, and audit internal policies, governance frameworks, compliance programs, standard operating procedures, and regulatory documentation through structured workflows.
Key features include but are not limited to: policy lifecycle management, document builder, multi-stage approval workflows, employee policy distribution, acknowledgement tracking, compliance dashboards, risk monitoring, audit center, reports and analytics, and integrations with third-party enterprise systems.
3. Account Registration and Security
To access the Services, you must register for an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account or organization's account
- Promptly notifying us of any unauthorized access or security breach at security@policyforges.io
- Ensuring all authorized users within your organization comply with these Terms
- Implementing appropriate internal security controls for access to the Platform
4. Subscription and Billing
4.1 Subscription Plans
PolicyForges offers tiered subscription plans as described on our Pricing page. Features, user limits, and capabilities vary by plan. We reserve the right to modify pricing and plan offerings with 30 days' advance notice to existing subscribers.
4.2 Payment Terms
Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in our Refund Policy. You authorize us to charge your designated payment method automatically at each billing cycle.
4.3 Taxes
All subscription fees are exclusive of applicable taxes, levies, and duties. You are responsible for paying all applicable taxes in your jurisdiction.
4.4 Late Payments
Overdue invoices may result in suspension of access to the Platform. Accounts overdue by more than 30 days may be subject to account termination.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You must not:
- Use the Services to engage in any illegal activity or violate applicable laws
- Upload or distribute malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any part of the Platform or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or attempt to extract source code from the Platform
- Resell, sublicense, or transfer your access to the Services without our written consent
- Use automated tools to scrape, harvest, or extract data from the Platform
6. Intellectual Property
6.1 PolicyForges Intellectual Property
PolicyForges and its licensors own all rights, title, and interest in and to the Platform, including all software, algorithms, interfaces, designs, logos, trademarks, documentation, and all improvements thereto. These Terms do not grant you any ownership rights in the Services or any intellectual property contained therein.
6.2 Customer Content
You retain all ownership rights in the content, policies, documents, and data you upload or create within the Platform ("Customer Content"). You grant PolicyForges a limited, non-exclusive license to process, store, and transmit Customer Content solely for the purpose of providing the Services.
7. Data Privacy and Security
PolicyForges processes personal data in accordance with our Privacy Policy and applicable data protection laws. For enterprise customers, a Data Processing Agreement (DPA) is available upon request. We maintain industry-standard security controls to protect your data.
8. Service Level Agreement
PolicyForges targets 99.9% platform uptime for paid subscribers, calculated monthly excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. SLA credits for uptime failures are governed by your enterprise subscription agreement.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE SERVICE. POLICYFORGES DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC LEGAL OR REGULATORY COMPLIANCE REQUIREMENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLICYFORGES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, EVEN IF POLICYFORGES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. POLICYFORGES' AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless PolicyForges and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate the subscription with 30 days' written notice. PolicyForges may immediately suspend or terminate access for material breach of these Terms, non-payment, or activities that could harm other customers or the Platform. Upon termination, you may export your data within 90 days before we delete it.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions. Any disputes shall first be attempted to be resolved through good faith negotiation. Unresolved disputes shall be submitted to binding arbitration under the American Arbitration Association rules.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email and notice within the Platform at least 30 days before taking effect. Continued use of the Services after changes constitutes acceptance of the updated Terms.
